1. Who we are and what these terms cover<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

These terms apply to all quotes, assignments and agreements of Miguel Cruz, with registered office at Nonnenbos 28, 2381 Weelde, Belgium, company number BE 0667.499.065, reachable at info@miguelcruz.eu and +32 484 57 52 70. Below, we refer to ourselves as Miguel Cruz and to you as the client.<\/p>

They apply to all our work: websites and web design, branding, marketing and advertising, AI integration and automation, strategy, consulting, lead generation, sales and training. By accepting a quote or giving us an assignment, you accept these terms. They take precedence over the client's terms, unless we accept otherwise in writing. Deviations only apply if we confirm them in writing.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

2. Quotes and rates<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

A price in a quote applies only to the assignment described in that quote. All amounts exclude VAT. A quote remains valid for 30 days for assignments carried out within 9 months.<\/p>

Our hourly rate for consulting and ad hoc work is \u20ac95 per hour, excl. VAT. For AI integration and automation the hourly rate is \u20ac120, for AI advice \u20ac135, excl. VAT. Training is charged per half day: \u20ac850 for a half day and \u20ac1,500 for a full day, excl. VAT, unless the quote states a different amount. Rates apply to work during office hours, from 9:00 to 17:00 on working days. For work outside those hours, on Saturdays, Sundays or public holidays, we may charge a surcharge. We agree this in advance.<\/p>

Annual website maintenance costs \u20ac1,250 per year for a website of up to 15 pages and \u20ac1,550 per year for a website with more than 15 pages, excl. VAT. It includes hosting, the domain name, one mailbox, updates, theme and plugin licences and technical maintenance. Each extra mailbox costs \u20ac25 per month, excl. VAT.<\/p>

Travel within a radius of 30 kilometres around Weelde is included. Beyond that, we charge travel time at the hourly rate and mileage at the flat rate used by the Belgian government.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

3. How an agreement is formed<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

An agreement is concluded as soon as the client signs or confirms a quote or agreement in writing, including by email. It is also concluded when the client sends us material, such as texts, images or account access, with the request to start the assignment.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

4. Duration and termination<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

Projects<\/strong>, such as a website or an automation, run until delivery. The assignment is then complete. For a website, only the maintenance continues after that, as described below.<\/p>

Website maintenance<\/strong>, including hosting, domain name and mailboxes, runs per year. The first year is included in the price of the website and starts on the day of delivery. After that, maintenance is tacitly renewed for one year at a time. The client can cancel up to the renewal date, in writing or by email. After the renewal date, the new year is due.<\/p>

Ongoing services<\/strong>, such as marketing and consulting, run month to month. Either party can cancel at the end of a current month, with one month's notice, in writing or by email. Services already delivered or already ordered from third parties, such as advertising budget, remain payable.<\/p>

If we expressly agree a longer term, for example for a six- or twelve-month programme, this is stated in the quote and that term applies.<\/p>

For a website on the lease plan, the term and the notice rules of article 21 apply.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

5. Performance and your cooperation<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

We aim to meet the agreed schedule. That schedule is an estimate and not an obligation of result. Exceeding it does not in itself give a right to compensation or termination.<\/p>

An assignment requires the client's cooperation: copy, images, feedback, access to accounts and decisions, each within a reasonable time. If that cooperation is not forthcoming, we may move the schedule and charge the costs of waiting time or extra work at the hourly rate.<\/p>

We may call on third parties, such as a photographer, a developer or a copywriter. We remain your point of contact.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

6. Consulting, training and on-site work<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

Consulting and training are an obligation of means. We work with the knowledge and experience we have, but we do not guarantee revenue, a number of leads or any particular result. What a business does with our advice, and how the market responds, is beyond our control.<\/p>

A scheduled day or half day can be rescheduled free of charge up to 48 hours in advance. After that we charge half of the agreed amount, and the full amount for cancellation on the day itself.<\/p>

For training, the client provides a suitable room, the necessary equipment and the attendance of the participants. Training material we create remains ours, but the client may use it internally without limitation.<\/p>

When we work within the client's organisation, we do so as an independent service provider. No employment contract arises and we are not under the client's authority.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

7. Invoicing<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

For projects, the client pays an advance of 50 percent of the total amount, including VAT, when confirming the assignment. Work starts once the advance has been received. We invoice the remaining 50 percent on delivery. For longer projects, we may invoice in instalments according to the phases in the quote.<\/p>

Website maintenance is invoiced annually in advance, one month before the renewal date. Extra mailboxes are invoiced together with the maintenance.<\/p>

Ongoing services, consulting and training are invoiced monthly after delivery, based on the hours worked or the agreed monthly fee.<\/p>

Third-party costs not included in the maintenance that we advance on your behalf, such as advertising budget, extra licences or AI service usage, are passed on as invoiced, without mark-up unless agreed otherwise.<\/p>

For a website on the lease plan, the invoicing of article 21.3 applies.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

Our invoices are payable within 15 days of the invoice date.<\/p>

If an invoice is not paid in full by the due date, late payment interest of 10 percent per year is due by operation of law and without notice of default, and the outstanding amount is increased by fixed compensation of 10 percent, with a minimum of \u20ac150. The same compensation applies against us should we default towards the client.<\/p>

In the event of non-payment, we may suspend further performance or terminate the agreement, without the need for notice of default or court intervention. This is without prejudice to our right to full compensation.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

9. Payment by consumers<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

If the client is a consumer, different rules apply, in accordance with Book XIX of the Belgian Code of Economic Law. The first reminder is free of charge and gives a period of at least fourteen calendar days, starting from the third working day after it is sent. Only then are interest and a penalty clause due, within the limits set by law. Clauses in this section that would be stricter do not apply to consumers.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

Complaints about our services must be sent to us in detail and with reasons within 8 working days of delivery or of the invoice date, by email to info@miguelcruz.eu or by registered letter. A complaint does not suspend payment of an invoice. An invoice not disputed in writing within 8 working days is deemed accepted.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

11. Intellectual property and rights of use<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

After full payment, the client receives ownership of, or an unlimited, transferable right to use, the work created specifically for that assignment: the design, the copy we wrote, the layout, the configuration and the delivered website. The client can do whatever they want with it, including having another party continue the work.<\/p>

What we do not transfer are the underlying building blocks we use across multiple assignments: our own components, scripts, templates, methods and know-how. The client receives a non-exclusive right to use these to the extent necessary to use what was delivered.<\/p>

Standard third-party software, such as the CMS, themes, plugins and licences, remains the property of the supplier concerned. The client respects their licence terms. We are not liable for any infringements of them.<\/p>

Material provided by the client, such as copy, photos and logos, remains the client's. The client warrants that they hold the necessary rights to it and indemnifies us against third-party claims.<\/p>

Until the invoice has been paid in full, all delivered work remains our property.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

12. Domain names, hosting and accounts<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

We register domain names in accordance with the rules of the competent bodies, such as DNS Belgium for .be. We act only as an intermediary and are not liable for registrations made in bad faith or registrations that infringe third-party rights. The client indemnifies us against third-party claims in this respect.<\/p>

For as long as the maintenance runs, we manage the client's hosting, domain name and mailboxes. The website itself and the ad accounts belong to the client. If the client stops the maintenance, we move the website, domain name and mailboxes within a reasonable time to the party the client designates. The costs of that move, and our hours for it at the hourly rate with a minimum of three hours, are at the client's expense.<\/p>

For hosting, the hosting partner's terms also apply. We are not responsible for interruptions, outages or data loss at third parties, but we do what is reasonable to get them resolved as quickly as possible.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

13. AI integration and automation<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

This section applies whenever we build, configure, connect or support AI systems, and whenever we use AI tools in carrying out an assignment. The terms provider and deployer have the meaning given to them by the European AI Act, Regulation (EU) 2024\/1689.<\/p>

13.1 Roles.<\/strong> If we build or configure an AI system that the client uses in their own business, the client is as a rule the deployer and the related obligations are theirs. If the client places the result on the market under their own name or substantially modifies it, they may become a provider themselves. We explain this division of roles at the start of an assignment and record it in writing where necessary.<\/p>

13.2 Transparency.<\/strong> Since 2 August 2026 the transparency obligations of Article 50 of the AI Act apply. A chatbot or voice assistant must make clear that the user is talking to a machine, and AI-generated or AI-edited images, audio, video and text must be recognisable as such and marked in a machine-readable way. We build these notices and markings in as standard. The client does not remove or hide them.<\/p>

13.3 Human oversight.<\/strong> The client ensures that a human remains involved in decisions that affect people, such as recruitment, credit decisions, individual pricing or the handling of complaints. Automatic sending or execution without review only takes place at the client's express request and under the client's responsibility.<\/p>

13.4 No guarantee on output.<\/strong> AI systems give answers based on probability. They can make mistakes, give outdated information or make things up. We do not guarantee that the output is correct, complete, up to date or fit for a particular purpose. The client checks output before it goes out or before a decision is based on it.<\/p>

13.5 Prohibited and sensitive applications.<\/strong> The client does not use what we deliver for practices prohibited by Article 5 of the AI Act, such as harmful manipulation, exploiting vulnerabilities, social scoring or inferring emotions in the workplace. We do not cooperate in such applications and may stop an assignment if it turns out to be heading in that direction.<\/p>

13.6 AI literacy.<\/strong> Article 4 of the AI Act expects anyone deploying AI to ensure their people understand it sufficiently. With every delivery we provide a short guide to the system's limitations, and we provide training on request. The client ensures that the people working with it receive that explanation.<\/p>

13.7 Third-party services and models.<\/strong> Our automations often rely on third-party models and integrations. Those parties may change or discontinue their prices, terms, models or availability. That is not a defect in our work. We report it as soon as we know and propose an alternative, the costs of which are borne by the client.<\/p>

13.8 Usage costs.<\/strong> The use of AI services, API calls and connected software is at the client's expense. Where possible we put those subscriptions in the client's name, so they can see the usage themselves.<\/p>

13.9 AI tools in our own work.<\/strong> We use AI tools for writing, design, programming and analysis. We check everything we deliver ourselves before it goes out. We only enter client data, and certainly personal data, into such tools after agreeing this with the client, and only with providers that confirm contractually that they do not use that data to train their models. Confidential documents and special categories of personal data are kept out of them.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

14. Responsible use<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

The client does not use what we deliver, including storage space and email facilities, for unlawful purposes or for activities that cause damage or nuisance to us or to third parties. Distributing unlawful software, spam and content contrary to public order is excluded. In case of misuse we may stop the service immediately. The client indemnifies us against any claim arising from it.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

We have an obligation of means and are only liable for a proven error in carrying out the assignment. Our liability is limited to direct damage actually suffered and can never exceed the amount the client paid for the service concerned in the three months before the event giving rise to the damage.<\/p>

We are not liable for indirect damage, such as loss of profit, loss of revenue, loss of data, reputational damage or third-party claims. For services where we act only as an intermediary, we accept no liability.<\/p>

These limitations do not apply in case of fraud, intent or gross negligence on our part, nor to damage to life or health, nor where the law prohibits them.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

We process personal data in accordance with the General Data Protection Regulation. How we do this is set out in our privacy statement at miguelcruz.eu\/privacy-policy.<\/p>

When we process personal data on the client's behalf, for example when managing a website, a mailing list or an automation, we act as processor and conclude a data processing agreement on request. The client remains the controller and ensures there is a valid legal basis for the data they provide to us.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

Both parties keep confidential the information, know-how and documents they receive in the course of the collaboration. That information is not shared or used without prior written consent. We may mention the client's name and logo as a reference on our website and in our portfolio, and show the work. We only publish figures or results with permission. If the client does not wish to be mentioned, a message to info@miguelcruz.eu is enough and we will remove the reference.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

19. Cancellation and suspension<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

If the client cancels an assignment or suspends its performance, we invoice the work already carried out, plus compensation of 15 percent of the total assignment amount, with a minimum of \u20ac500. If an assignment is on hold for more than a month due to lack of input from the client, we may invoice it in its current state under the same conditions.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

20. Force majeure<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

Events beyond our reasonable control, such as a prolonged outage at a hosting partner, the loss of a third-party service, illness, fire or a government measure, suspend our obligations for as long as they last. If the situation lasts longer than sixty days, either party may terminate the agreement without compensation, with payment for what has already been delivered.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

21. Leasing a website<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

This article applies when the client leases a website instead of buying it outright. Where this article differs from the other articles, this article prevails.<\/p>

21.1 Plan.<\/strong> On the lease plan, we build, host and maintain the client's website for a fixed monthly fee. The chosen plan and what it includes are set out in the quote or the agreement. Domain name, hosting, licences, maintenance, updates, security and one business mailbox are included. Each extra mailbox costs 25 euro per month, excluding VAT.<\/p>

21.2 Term.<\/strong> A lease agreement runs for 36 months from the delivery of the website. It cannot be terminated early during that term, except as set out in 21.6.<\/p>

21.3 Invoicing.<\/strong> We invoice the first year upfront, when the assignment is confirmed. Work starts once that payment is received. From the second year, we invoice the monthly fee monthly in advance. The monthly fee is adjusted each year on the anniversary of the agreement in line with the Belgian health index.<\/p>

21.4 Changes.<\/strong> Every two months we make small changes, together up to a maximum of one hour. Unused time does not carry over to a later period. Larger changes and new features are carried out after a quote, at the applicable hourly rate.<\/p>

21.5 After 36 months.<\/strong> If the client stays for the full term, we build a renewed website within the same scope and a new term of 36 months starts, at the rates applicable at that time. If the scope changes substantially, we first make a new calculation. If the client does not want a new term, they let us know in writing or by email no later than one month before the end of the term. In that case the website passes to the client after the last payment as set out in article 11, and any move takes place as set out in article 12.<\/p>

21.6 Early termination.<\/strong> If the client wants to end the agreement before the end of the term, a buyout fee is due equal to the monthly fees remaining until the end of the current term. Once that is paid, the website passes to the client as set out in article 11, and any move takes place as set out in article 12. If two monthly fees remain unpaid after a written notice of default, we may suspend our services and terminate the agreement, and the same buyout fee is due.<\/p>

21.7 Ownership during the term.<\/strong> As long as the term runs and the buyout fee has not been paid, the website and the work we made for it remain our property. The client receives a right to use it for the duration of the agreement. We register the domain name in the client's name. Material supplied by the client always remains the client's.<\/p>

21.8 CRM and guidance.<\/strong> If the client chooses the Complete plan, the CRM module and the monthly guidance are a separate service, independent of the website term. Unless the quote states otherwise, they run month to month and can be cancelled as set out in article 4.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

22. Final provisions<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

The client may not transfer their rights and obligations under this agreement to third parties without our prior written consent.<\/p>

If a provision of these terms is void or unenforceable, the other provisions remain in force and the parties replace the provision with a valid provision that comes closest to its purpose.<\/p>
